Terms of Service
DRAFT – requires review by a Philippine lawyer before launch. This is a first draft. It is not legal advice and it is not final. Questions: the contact form.
These Terms of Service are the agreement between Hostactor ("Hostactor", "we", "us") and you, the person or business that creates an account, places an order or uses our services ("you"). Please read them before you order. By creating an account or placing an order you accept these terms and the documents they refer to.
1. Who we are
Hostactor is a digital services platform for businesses in the Philippines. You can reach us at the contact form.
- Brand: Hostactor
- Website: hostactor.com
2. Our services
Depending on what you order, our services may include:
- web hosting (cPanel accounts) and related e-mail, databases and tools;
- domain name registration, renewal and transfer, through a domain registrar;
- digital business cards, self-service websites, online stores and mini catalogs that we host and manage for you ("managed websites, stores and cards");
- add-ons for online stores, such as dropshipping tools;
- website maintenance plans;
- AI content tools;
- SEO tools and SEO services;
- "done-for-you" services, where we build a website, store or application for you.
What each plan includes (for example storage, number of mailboxes, pages, products, AI usage or maintenance hours) is shown on the order page, the plan description or your written quotation at the time you order. Section 9 adds terms for specific services. The Hosting Service Terms and the Domain Registration Terms also apply to those services.
3. Your account
- You must be at least 18 years old, or the age of majority where you live, and able to enter into a contract. If you order for a business, you confirm that you may bind that business.
- Give us true, complete and current details, and keep them up to date. Domain registration needs accurate owner details by the rules of the registrar and the registry.
- Keep your password, sign-in links and two-step verification codes private. You are responsible for what happens in your account, unless it was caused by our own failure. Tell us at once if you think someone else has access to your account.
- Our support staff may open your account to help you or to investigate a problem. Every such access is recorded.
4. Orders and prices
- Prices are shown in Philippine pesos (₱). We do not currently charge VAT.
- The order page shows the price for the first period, the billing period (for example monthly or yearly) and, where it is different, the renewal price. Promotional prices apply only for the period stated.
- An order is accepted when it is paid and we confirm it. We may refuse or cancel an order, for example when a price shown was obviously wrong, a domain turns out not to be available, or an order breaks the Acceptable Use Policy. If we cancel a paid order, we refund what you paid for it.
- Prices may change. A new price applies only from your next renewal, and we tell you before that renewal.
5. Payment
- Card and other online payments are processed by our payment provider, Whop, on its own secure payment page. We never see or store your full card details. The payment provider's own terms also apply to the payment.
- If the payment provider charges in a currency other than the peso, the provider or your bank may apply its own exchange rate and fees. These are not set by us.
- Where we offer manual payment methods (such as GCash or bank transfer), we set up or renew a service only after we have checked that the money has reached our account. A screenshot or a reference number alone is not a confirmed payment. Manual payments are one-time payments: they do not renew automatically.
- We set up a service only after its payment is confirmed. If a payment is reversed or charged back, we may suspend the service it paid for until the matter is settled.
6. Renewals, reminders and suspension
- Services renew for the same billing period unless you cancel before the renewal date. We send a renewal payment request about 14 days before a hosting or service renewal, and about 30 days before a domain expires, followed by reminders.
- For a service billed yearly, we also send a notice about 45 days before the end of the period.
- If a renewal is not paid, we may suspend the service 7 days after the due date. A suspended service comes back when the payment is made. If it stays unpaid, the service may be closed and its data deleted, as described in the Hosting Service Terms.
- A domain that is not renewed expires according to the registrar's and the registry's rules (see the Domain Registration Terms).
7. Cancellation and refunds
You can cancel a service at any time with the cancellation form, without signing in, or by writing to the contact form. We confirm every request with a reference number and the time we received it. You can stop a service at the end of the paid period (it then does not renew and nothing more is charged), or right away, in which case we stop it within three business days of your request. Refunds follow the Refund and Cancellation Policy. A domain registration or renewal cannot be refunded once it has been completed.
8. Your content and your responsibilities
- Everything you upload, publish, sell or send through our services ("your content") remains yours. You give us only the permissions we need to host, copy, display, back up and transmit it in order to provide the services.
- You are responsible for your content and for your websites, stores, cards and e-mail: that you have the rights to it, that it is lawful and accurate, and that your own business follows the laws that apply to it, including consumer, e-commerce, tax, data privacy and advertising rules.
- If you collect personal data of your own customers or visitors through our services, you are responsible for it as their personal information controller, and you must give them your own privacy notice. We process that data only to provide the services (see the Data Processing Addendum).
- You must follow the Acceptable Use Policy. We may act on content or activity that breaks it, as that policy describes.
- Keep your own copies of your content. Our backups are a safety measure, not a replacement for your own (see section 10).
9. Terms for specific services
9.1 Hosting
Each hosting plan has defined resources (such as storage, bandwidth, mailboxes and databases). There is no "unlimited" plan. The Hosting Service Terms describes fair use, security, backups and the end of a hosting service.
9.2 Domains
Domains are registered through a domain registrar and follow its rules and the rules of ICANN and of each registry. Once registered or renewed, a domain cannot be cancelled or refunded. See the Domain Registration Terms.
9.3 Managed websites, online stores, mini catalogs and digital business cards
- We provide the builder, templates and hosting; you provide and are responsible for the content, products, prices and information you publish.
- Each plan has limits (for example pages, products, storage or cards), shown when you order. Where hosting is included in a managed plan, you are not charged for it separately.
- If you sell through your store, you are the seller: you are responsible to your own customers for your products, prices, delivery, returns, receipts and taxes. Payment, delivery and other integrations are offered only where they are actually available, and the third party's own terms apply to them.
- If a plan ends, you can download or export your content where the service allows it, during the period described in section 13.
9.4 Dropshipping add-ons
- Dropshipping tools connect your store to suppliers or product sources. We do not sell, own, ship or guarantee those products, their availability, their prices or their delivery times.
- Product data imported from a supplier (descriptions, images, stock and prices) comes from that supplier. Check it before you sell, and make sure you are allowed to use it.
- Import limits and synchronisation features are those of the add-on you ordered.
9.5 Website maintenance plans
- A maintenance plan covers only the tasks, number of updates or hours, monitoring and response times listed for that plan. It is not unlimited work: anything outside the plan is quoted separately.
- We start work after we receive the access and materials we need. Unless the plan says otherwise, you remain responsible for your own content and for keeping your own backups.
9.6 AI tools
- AI tools generate text and other content automatically. The results can be wrong, incomplete, similar to other content, or unsuitable. Review and edit everything before you use or publish it; you are responsible for what you publish.
- AI usage is limited by your plan (for example by credits, requests or words). Unused usage does not carry over unless the plan says so.
- Do not put personal data or confidential information into an AI tool unless you are allowed to. Requests may be processed by third-party AI providers, as described in the Privacy Notice.
- If you connect your own account with an AI provider, that provider's terms and charges apply, and we are not responsible for that account.
9.7 SEO tools and SEO services
- Search engines decide on their own how they rank websites, and change their rules often. We do not guarantee any ranking, traffic, number of leads or sales.
- An SEO service covers the work described in the order or quotation (for example an audit or a setup) and nothing more.
9.8 Done-for-you services (websites, stores and applications we build for you)
- The scope, deliverables, number of revision rounds, timeline and price are those in your order or written quotation. Prices shown as "from" are starting prices. Work outside the agreed scope, or more revisions, is quoted separately before we do it.
- Timelines start when we have received the payment due and the content, access and approvals we need from you. Delays in providing them move the timeline.
- When the work is delivered, you have a reasonable period stated in the quotation to report anything that does not match the agreed scope. After that, or once you publish the work, it is treated as accepted.
- Once paid in full, you own the work created specifically for you, except for our pre-existing tools, templates and code, and third-party components (such as themes, plugins, fonts or images), which you may use under their own licences.
- Any monthly subscription that the work needs to run (such as hosting or a store plan) is separate and is shown in the quotation.
- The Website Development Terms add details for these projects.
10. Availability, backups and security
- We work to keep the services running and secure, but we do not guarantee that they will be available without interruption or errors, or any specific uptime. Maintenance, failures of networks, hardware or third parties, and events outside our control can cause interruptions.
- Where a plan includes backups, they are made on a best-effort basis to help restore service. They may not include every change, and we cannot promise that a backup will always be complete or restorable. Keep your own copies.
- Keep your software (such as CMS, plugins and themes) up to date and use strong passwords. We may take urgent action, such as suspending a site, to stop an attack, malware or a risk to other customers.
11. Third-party services
Some services depend on third parties, for example domain registrars and registries, the payment provider, e-mail delivery, Cloudflare (if you turn on Cloudflare protection), AI providers and suppliers connected to your store. Their own terms apply to their part. We are not responsible for their acts or failures, but we will help you deal with them where we can.
12. Our intellectual property
The Hostactor name, logo, panel, builders, templates and software belong to us or our licensors. You may use them only to use the services during your subscription. Do not copy, resell or reverse-engineer them, except as the law allows.
13. Suspension and ending a service
- We may suspend or end a service, after a warning where possible, if you seriously or repeatedly break these terms or the Acceptable Use Policy, do not pay, or if the law or an authority requires it. In urgent cases (for example phishing, malware, attacks or content that sexually exploits children) we act at once and tell you afterwards.
- If we decide to stop offering a service for business reasons, we tell you at least 30 days in advance and refund the unused part of any period you paid for.
- When a service ends, we keep its data for 14 days so that you can download it, unless the law or the Acceptable Use Policy requires earlier deletion. After that it is deleted, including from backups as they expire.
14. Liability
- Nothing in these terms limits liability that cannot be limited under Philippine law, including for fraud, gross negligence or wilful misconduct, or rights you have as a consumer that cannot be waived.
- Within those limits, we are not liable for indirect or consequential loss, such as lost profits, lost revenue, lost data, lost goodwill or business interruption.
- Within those limits, our total liability for any claim about a service is limited to the amount you paid us for that service in the 12 months before the event that caused the claim.
- You agree to compensate us for claims by others that arise from your content or from your breach of these terms or of the law.
15. Questions and complaints
Contact us first at the contact form or through the support form, and we will try to solve the problem. If you are a consumer, you may also contact the Department of Trade and Industry (DTI) or other competent authorities about a consumer complaint.
16. Changes to these terms
We may update these terms, for example when the law or our services change. Every version is kept and can be viewed on the legal documents page. If a change is significant and affects your existing services, we tell you by e-mail or in your account at least 30 days before it applies to you. The change then applies from your next renewal, and you may cancel before then. Changes required by law may apply sooner.
17. Governing law
These terms are governed by the laws of the Republic of the Philippines. Disputes are decided by the competent courts of the Philippines, without taking away any right you have as a consumer to bring a claim where you live.
18. Other documents
These terms include the Acceptable Use Policy, the Refund and Cancellation Policy, the Privacy Notice, the Cookie Policy, the Domain Registration Terms, the Hosting Service Terms, the Website Development Terms, the Data Processing Addendum and the Abuse and Takedown Policy. If they conflict, the document that is more specific to the service takes priority, and a written quotation signed by both of us takes priority over all of them for that project.
